SUPPLIER AGREEMENT — DRAFT● SCANNING

SUPPLIER AGREEMENT — between Imaginality Pty Ltd

("Client") and the party named in Schedule A

("Supplier"). This Agreement governs the supply

of goods and services described in each Order Form.

1. PAYMENT. Invoices are payable within 30 days

of receipt. Late payments accrue interest at 2%

per month compounding from the due date forward.

2. WARRANTIES. Supplier warrants all deliverables

shall be free from defects for 90 days post-delivery.

3. INTELLECTUAL PROPERTY. All work product and

derivative works vest in Client upon full payment.

4. CONFIDENTIALITY. Each party shall hold the

other's information in strict confidence for 3 years.

5. TERMINATION. Either party may terminate this

Agreement with 30 days written notice to the other.

6. GOVERNING LAW. This Agreement is governed

by the laws of the Republic of South Africa and

disputes shall be resolved by arbitration in Joburg.
